Terms of Service

By accessing or using any services provided by Ardisio ("we", "us", "our"), including web hosting, cloud hosting, VPS servers, domain registration, email hosting, and the NexonGraphs Academy platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including visitors, registered account holders, and anyone who accesses or uses the Services. These Terms constitute a legally binding agreement between you and Ardisio. Please read them carefully.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use our Services. By registering, you represent and warrant that: - You meet the minimum age requirement. - All information you provide is accurate, current, and complete. - You have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

To access certain features, you must create an account. You agree to: - Provide accurate, current, and complete registration information. - Maintain the security of your password and account credentials. - Notify us immediately at contact@ardisio.com of any unauthorized access or security breach. - Accept responsibility for all activity that occurs under your account. - Not share your account credentials with any third party. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

NexonGraphs provides hosting infrastructure, domain services, and related products as described on our website. We strive to maintain 99.9% uptime for all hosting services, though we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by factors outside our reasonable control, including but not limited to natural disasters, third-party service failures, cyberattacks, or network outages. Service Level Agreement (SLA) credits may be issued at our discretion for verified downtime exceeding our uptime commitment, subject to a formal request submitted within 7 days of the incident.

You agree not to use our Services to: - Host, distribute, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable. - Distribute malware, viruses, ransomware, spyware, or any code designed to disrupt, damage, or gain unauthorized access to systems. - Send unsolicited bulk email (spam), engage in phishing, or conduct any form of email abuse. - Infringe on the intellectual property rights of any third party, including copyright, trademark, or patent infringement. - Attempt to gain unauthorized access to our systems, other accounts, or any third-party networks. - Use excessive server resources that negatively impact other users on shared infrastructure. - Host content related to illegal gambling, fraud, child exploitation, or any activity prohibited by applicable law. - Conduct cryptocurrency mining, including but not limited to Bitcoin, Ethereum, Monero, or any other digital currency, on any Ardisio server or infrastructure. This applies to all service types including VPS, Cloud Hosting, and Shared Hosting. - Run port scanning, network probing, or any form of unauthorized network reconnaissance. - Operate botnets, command-and-control servers, or participate in distributed denial-of-service (DDoS) attacks. - Resell or sublicense our Services without prior written authorization. Violation of this policy may result in immediate suspension or termination of your account without refund. We reserve the right to report illegal activity to the appropriate authorities.

All fees for Services are stated on our website and are due in advance for the billing period selected. Prices are listed in NGN and USD for reference. - Payments are processed securely through Paystack, our approved payment provider. - All payments are charged in NGN at the prevailing exchange rate via Paystack. USD prices shown on our website are for reference only. - All fees are strictly non-refundable once payment is confirmed. See Section 7 (Refund Policy) for full details. - We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored at the current rate until the next renewal. - Failure to pay by the due date may result in service suspension. Services suspended for non-payment for more than 14 days may be terminated and data deleted. - You are responsible for any applicable taxes, levies, or duties associated with your use of the Services. - Disputed charges must be raised within 7 days of the invoice date by contacting contact@ardisio.com.

All payments made to Ardisio are strictly non-refundable once processed. By completing payment, you acknowledge and agree to this no-refund policy. This applies to all services without exception, including: Shared Hosting and WordPress Hosting Once payment is confirmed and your hosting account is provisioned, no refund will be issued under any circumstances. If you are unsure about a plan, we recommend starting with a monthly subscription before committing to an annual plan. VPS and Cloud Hosting Server resources are allocated and provisioned immediately upon payment confirmation. All VPS and Cloud Hosting payments are non-refundable. Email Hosting Email hosting accounts are provisioned immediately upon payment. All email hosting payments are non-refundable. Domain Names Domain registrations, renewals, and transfers are non-refundable once processed. Costs are immediately incurred with the domain registry and cannot be recovered. Renewals All renewal payments are non-refundable. It is your sole responsibility to cancel a service before its renewal date if you no longer wish to continue. We send renewal reminders in advance to allow sufficient time for cancellation. Add-ons All add-on purchases including Firewall and Email add-ons are non-refundable once activated. Service Cancellation You may cancel any service at any time from your dashboard. Cancellation stops future billing but does not entitle you to a refund of any amount already paid, including any unused portion of a billing period. Exceptions Refunds will only be considered in the following circumstances: - You were charged twice for the same invoice (duplicate charge). - Your service was never provisioned due to a technical failure on our end and we are unable to resolve it within 72 hours. To raise a billing dispute, contact contact@ardisio.com within 7 days of the charge with your invoice number. Disputes raised after 7 days will not be considered.

Domain registration services are subject to the terms and policies of the applicable domain registry and ICANN (Internet Corporation for Assigned Names and Numbers) where relevant. - Domain registrations are non-refundable once processed. - You are responsible for ensuring your domain contact information is accurate and up to date at all times. - We are not responsible for the loss of a domain due to failure to renew before expiration. - Domain transfers are subject to registry-specific lock periods and transfer policies. - WHOIS privacy protection is included free of charge where supported by the registry. - NexonGraphs acts as a registrar reseller. The underlying registrar's terms also apply to your domain registration.

You retain full ownership of all content you upload, store, or transmit through our Services. By using our Services, you grant us a limited, non-exclusive license to host, store, and transmit your content solely for the purpose of providing the Services. While we perform routine backups as a courtesy on eligible plans, you are solely responsible for maintaining your own independent backups. We are not liable for any loss of data, regardless of cause. We reserve the right to remove content that violates these Terms or applicable law, with or without notice. In cases of illegal content, we may be required to preserve and disclose data to law enforcement.

All content, branding, software, and materials provided by Ardisio, including but not limited to logos, designs, text, and code, are the intellectual property of Ardisio and are protected by applicable copyright and trademark laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from our proprietary materials without prior written consent. You retain all intellectual property rights to content you create and host on our platform.

Our Services integrate with third-party providers including Paystack (payments), Namecheap and Whogohost (domain registration), DigitalOcean (VPS infrastructure), Firebase (authentication), and Brevo (email delivery). We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is governed by their respective terms and policies. We are not liable for any disruption, data loss, or damages caused by third-party service failures.

To the maximum extent permitted by applicable law, Ardisio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising from or related to the Services shall not exceed the total fees paid by you to NexonGraphs in the three (3) months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Ardisio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: - Your use of the Services. - Your violation of these Terms. - Your violation of any rights of a third party. - Any content you upload, store, or transmit through our Services. - Your violation of any applicable law or regulation.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: - Violation of these Terms or our Acceptable Use Policy. - Non-payment of fees. - Requests by law enforcement or government agencies. - Extended periods of inactivity (12+ months). - Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or our business. Upon termination, your right to use the Services ceases immediately. We may delete your data after a 14-day retention period following termination. You are responsible for exporting your data before termination. You may cancel your account at any time by contacting our support team. Cancellation does not entitle you to a refund of any prepaid fees.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email at least 14 days before the changes take effect. If you do not agree to the revised Terms, you must stop using the Services before the effective date.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

NexonGraphs shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet outages, or failures of third-party service providers. In such events, we will make reasonable efforts to notify affected customers and restore Services as quickly as possible.
